These Terms of Service, including the License Agreement and End User License Agreement (collectively, the "Terms"), govern your access to and use of the Release application (the "App"), the e-commerce platform (releasecontent.com), the Modular website and portfolio builder by Frame, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. 1. Definitions * App: The Release application enables users to launch websites, blogs, or portfolios to Vercel in under 5 minutes with no coding required, manage databases for such projects, release content created with Modular by Frame, and deploy developer projects built with frameworks like Next.JS, Vue, React, Node.JS, Python, or integrations like Supabase and Neon. * Modular by Frame: A website and portfolio builder provided through our partnership with Frame (https://builtbyframe.site), allowing users to build from scratch or templates, customize, and release content via the App. * User: Any individual or entity accessing or using the Services, including non-technical users and developers. * Content: Any data, text, images, code, or other materials you create, upload, or manage through the Services, including websites, portfolios, or developer projects. * Vercel: The third-party platform used to deploy websites, blogs, portfolios, or developer projects created via the App. * Trial User: A User accessing the App and free version of Modular under a free trial, limited to 3 project deployments within 7 days. * Licensed User: A User who has purchased a valid license via releasecontent.com, granting access to the App and Modular (free or premium version, as applicable) for unlimited project deployments. * License Key: A unique code issued upon purchase to unlock unlimited deployments in the App and access to Modular. * Order ID: A unique identifier for each purchase transaction, provided in the order confirmation email. * Download Link: A time-limited (24 hours) and attempt-limited (3 attempts) link provided to Licensed Users for downloading the App. 2. Eligibility You must be at least 18 years old or have the legal capacity to enter into these Terms. By using the Services, you represent that you meet these requirements. 3. License Agreement 3.1 Grant of License: * Trial Users: We grant you a non-exclusive, non-transferable, revocable, limited license to use the App and the free version of Modular by Frame for up to 3 project deployments to Vercel within 7 days, for personal or commercial purposes to create, manage, and deploy websites, blogs, portfolios, or developer projects (e.g., using Next.JS, Vue, React, Node.JS, Python, Supabase, or Neon). * Licensed Users: Upon purchasing a license via releasecontent.com and entering a valid License Key, we grant you a non-exclusive, non-transferable, revocable, perpetual license to use the App and the applicable version of Modular by Frame (free for $29.99 license, premium for $49.98 license) for unlimited project deployments to Vercel, for personal or commercial purposes, including developer projects. 3.2 License Key: * After successful payment on releasecontent.com, you will receive a License Key, Order ID, and Download Link via email. * You must enter the License Key in the App to unlock unlimited deployments and access Modular features. * License Keys are tied to your device and are non-transferable. Using a License Key on multiple devices may result in license revocation. * Keep your License Key confidential to prevent unauthorized use. 3.3 Download Link: * The Download Link is valid for 24 hours from purchase and limited to 3 download attempts. * If the link expires or you exceed the attempt limit, contact support@releasecontent.com for assistance. 3.4 Restrictions: You may not: * Modify, reverse-engineer, decompile, or disassemble the App, Modular, or Services. * Share, sublicense, rent, lease, or transfer the App, Modular, License Key, or Download Link. * Use the App, Modular, or Services for illegal or unauthorized purposes, including violating intellectual property rights or distributing malware. * Attempt to bypass trial limits, tamper with the App or Modular’s functionality, or gain unauthorized access to our systems. * Redistribute or share the App or Modular installer or Download Link. 3.5 Ownership: The App, Modular, Services, and all related intellectual property are owned by Styps Ltd, Frame, or their licensors. No rights are granted except as expressly stated in these Terms. 3.6 Partnership with Frame: * Modular by Frame is provided under a partnership agreement with Frame (https://builtbyframe.site). Your use of Modular is subject to these Terms and Frame’s applicable terms, as referenced at https://builtbyframe.site. * The free version of Modular is included in the trial and $29.99 license; the premium version is included in the $49.98 license. 3.7 Developer Support: * The App supports developers deploying projects built with frameworks like Next.JS, Vue, React, Node.JS, Python, and integrations with Supabase or Neon. Your use of these frameworks or integrations is subject to their respective terms and policies. 4. End User License Agreement (EULA) 4.1 Scope: This EULA governs your use of the App and Modular as downloadable software products. 4.2 Installation and Use: * You may install and use the App and Modular on compatible devices for the purposes described in these Terms. * The App requires Accessibility permissions for System Events, which you must grant in System Settings > Privacy & Security > Accessibility. * We may provide updates to the App or Modular, which may require accepting updated Terms. 4.3 Trial and License Management: * Trial Users: The App tracks your trial usage (3 deployments) locally and syncs with our servers. Limits apply even if server sync fails (e.g., due to internet issues). * Licensed Users: License Keys are validated against our servers each time you use the App or Modular to ensure authenticity. * Any attempt to tamper with trial or license data may result in immediate termination of access and license revocation. 4.4 Termination of License: * We may terminate your license if you breach these Terms, including tampering with the App or Modular, using an invalid License Key, or engaging in unauthorized activities. * Upon termination, you must stop using the App and Modular, delete all copies, and destroy any License Key copies. * If you receive a refund, your License Key will be revoked, and you will revert to Trial User status. 4.5 Third-Party Services: * The App uses Vercel for project deployment and integrates with Modular by Frame, payment services (Stripe), email services (Resend), and supports developer integrations like Supabase and Neon. Your use of Vercel, Modular, Supabase, or Neon is subject to their respective terms and privacy policies. * We are not responsible for the actions or policies of third-party services. 5. Trial and Purchase 5.1 Free Trial: * The App and free version of Modular offer a free trial with up to 3 project deployments to Vercel within 7 days, no credit card required. * You must provide an email address to register your trial. 5.2 Purchase and License: * Licenses are available via releasecontent.com: * $29.99 License: Grants unlimited App deployments and access to the free version of Modular for non-technical and developer users. * $49.98 License: Grants unlimited App deployments and access to the premium version of Modular, including advanced features like block-based building and template customization, suitable for non-technical and developer users. * Payments are processed securely via Stripe, and you will receive an email with your License Key, Order ID, and Download Link. * All sales are final unless a refund is approved under Section 5.3. 5.3 30-Day Money-Back Guarantee: * You may request a refund within 30 days of purchase by filling out the Request Refund form on releasecontent.com/refund, providing your email address and Order ID. * If approved, your License Key will be revoked, and you will revert to Trial User status with trial limits of 3 deployments. You must purchase a new license for unlimited deployments. * Refunds are processed via Stripe and subject to their policies. 6. User Responsibilities 6.1 Account and Credentials: * You are responsible for maintaining the confidentiality of your Vercel, Modular, Supabase, Neon, or ReleaseContent account credentials and License Key. * You are liable for all activities under your accounts or using your License Key. 6.2 Content: * You own your Content but grant us and Frame (for Modular) a worldwide, non-exclusive, royalty-free license to host, store, and process it to provide the Services. * Your Content, including developer code, must not infringe third-party rights or violate applicable laws. 6.3 Compliance: * Use the Services in compliance with all applicable laws, including data protection and intellectual property laws. * Grant required permissions (e.g., System Events Accessibility) for the App to function. 7. Fees and Payment * Trial Users access the App and free Modular version for free, subject to trial limits. * Licensed Users pay a one-time fee ($29.99 or $49.98) via Stripe on releasecontent.com. Fees are in USD, and you are responsible for any applicable taxes. * We do not store your payment details; payments are handled by Stripe. * Non-payment or chargebacks may result in license revocation. 8. Termination * We may suspend or terminate your access to the Services for breaching these Terms, tampering, fraud, or operational reasons, with or without notice. * Upon refund or license revocation, you revert to Trial User status. * You may stop using the Services at any time by deleting your account, ceasing App and Modular use, and destroying License Key copies. 9. Disclaimers 9.1 As-Is Basis: The Services, including Modular, are provided "as is" without warranties, including for merchantability or fitness for a particular purpose. 9.2 Third-Party Services: We are not responsible for the availability or policies of Vercel, Frame, Stripe, Resend, Supabase, or Neon. Their downtime or errors may affect the App or Modular (e.g., license validation, deployments, or payments). 9.3 Content and Downloads: You are responsible for backing up your Content, including developer code, and downloading the App within the 24-hour/3-attempt limit. We are not liable for data loss or link expiration. 10. Limitation of Liability To the fullest extent permitted by law, Styps Ltd, Frame, and their affiliates shall not be liable for indirect, incidental, or consequential damages, or loss of profits or data, arising from the Services. Our total liability is limited to the amount you paid ($29.99 or $49.98 for Licensed Users, $0 for Trial Users). 11. Indemnification You agree to indemnify Styps Ltd, Frame, and their affiliates against claims or damages arising from your use of the Services, your Content, or your breach of these Terms. 12. Governing Law These Terms are governed by the laws of England & Wales. Disputes shall be resolved in the courts of England & Wales, subject to mandatory local laws. 13. Changes to Terms We may update these Terms by posting the revised version on releasecontent.com or in the App. Significant changes will be notified via email or the Services.
